India Legal Support for Overseas Businesses
Govilkar & Associates provides Indian legal advice and representation to businesses and companies based outside India. We assist with commercial relationships, disputes and proceedings involving Indian counterparties, assets or operations, and work with overseas management teams, in-house counsel and external legal advisers.
A business’s Indian legal requirements may arise before an agreement is signed, when a payment or performance dispute develops, or when proceedings become necessary. Our work is directed to the relevant Indian law issues, documents, deadlines and available remedies.
Commercial Contracts and Indian Counterparties
We review and draft agreements involving Indian counterparties, including arrangements for supply, services, distribution, agency, confidentiality and other commercial relationships. The review considers obligations, payment provisions, termination, governing law, jurisdiction and dispute resolution, according to the transaction and the agreed scope.
Payment Defaults and Recovery Claims
We assist businesses with claims involving unpaid invoices, contractual dues and other commercial liabilities in India. Work may include reviewing the contract and transaction records, preparing a legal notice, assessing the appropriate forum, exploring settlement and commencing or defending proceedings.
Litigation and Urgent Court Relief
We represent parties in Indian civil and commercial proceedings within our practice. Where a matter requires urgent attention, we assess the available remedies, relevant documents and procedural requirements. Any application for interim relief remains subject to the applicable law and the court’s determination.
Arbitration and Related Court Proceedings
We assist with disputes governed by arbitration agreements, including notices, claims, defences, hearings and settlement discussions. We also advise on related Indian court proceedings, including applications concerning interim measures, challenges to awards and enforcement, where applicable.
Company Disputes and Insolvency Matters
We advise on Indian company disputes and insolvency-related issues relevant to an overseas business, shareholder or creditor. The work may involve assessing records, identifying the appropriate proceeding and representation before the relevant court or tribunal.
Enforcement Issues in India
A foreign judgment or arbitral award may require further steps before it can be enforced against a party or assets in India. We examine the relevant instrument, jurisdiction, documents and applicable Indian law to advise on the available route and potential objections. Enforceability is assessed for the particular matter.
Intellectual Property and Commercial Rights
We assist with Indian disputes involving trade marks, copyright, licensing arrangements and contractual rights connected with intellectual property. Advice may include reviewing ownership and permission records, responding to alleged infringement and considering available remedies.
Indian Law Support for Overseas Counsel
We work with foreign law firms and in-house counsel where an Indian law question forms part of a wider transaction, dispute or proceeding. Assistance may include focused legal opinions, review of Indian documents, procedural explanations and expert evidence where appropriate.
An expert instruction is distinct from acting as a party’s advocate. The form of the engagement and any duties to a foreign court or tribunal must be identified clearly.
Coordination with Your Legal Team
The engagement can be structured around a defined question, a document review, a dispute or continuing advisory requirements. We identify the point of contact, scope of work, reporting arrangements and relevant deadlines so that Indian legal steps can be coordinated with the business’s wider decisions.
Our advice concerns Indian law. Where the matter also requires foreign-law, tax, accounting, company secretarial or specialist regulatory advice, the respective advisers’ roles should be identified and coordinated.
Banking Debt Recovery and Commercial Claims
We assist with disputes involving financial obligations, lending arrangements, unpaid dues and recovery claims. Our work includes notices, assessment of supporting records, negotiations and proceedings before the appropriate court or tribunal.
